Article 1 – Definitions
In these General Terms and Conditions, the following definitions apply:
Withdrawal Period: the period during which the consumer may exercise the right of withdrawal.
Consumer: any natural person acting for purposes outside their trade, business, craft, or profession who enters into a distance contract with the professional.
Day: calendar day.
Continuous Performance Contract: a distance contract relating to a series of products and/or services for which delivery and/or purchase obligations are spread over time.
Durable Medium: any instrument enabling the consumer or professional to store information addressed personally to them in a manner accessible for future reference and unchanged reproduction.
Right of Withdrawal: the consumer’s right to withdraw from the distance contract within the Withdrawal Period.
Professional / Merchant: the natural or legal person offering products and/or services to consumers at a distance.
Distance Contract: a contract concluded within an organized system for distance sales using exclusively one or more means of distance communication up to and including conclusion of the contract.
Means of Distance Communication: any method that can be used to conclude a contract without the consumer and professional being simultaneously present in the same place.
General Terms and Conditions: these General Terms and Conditions of Harrison & Grace.

Article 3 – Scope of Application
These General Terms and Conditions apply to every offer made by Harrison & Grace and to every distance contract and order concluded between Harrison & Grace and the consumer.
Before the distance contract is concluded, the text of these General Terms and Conditions will be made available to the consumer. If this is not reasonably possible, it will be indicated where the terms may be accessed and that they will be sent free of charge upon request.
If additional product or service conditions apply, the consumer may always rely on the provision most favorable to them in the event of conflicting conditions.
If any provision of these Terms is declared void or invalid, the remaining provisions shall remain in force, and the invalid provision shall be replaced with one reflecting the original intent as closely as possible.
Article 4 – The Offer
If an offer has limited validity or is subject to specific conditions, this shall be explicitly stated.
The offer is non-binding. Harrison & Grace reserves the right to modify or adapt the offer.
The offer contains a complete and accurate description of the products and/or services offered. Images are illustrative; slight variations in color or appearance may occur.
Each offer clearly states:

The price, excluding import duties and import VAT;

Any shipping costs;
-
The method of contract conclusion and necessary steps;

Whether the right of withdrawal applies;

Payment, delivery, and performance terms;

The validity period of the offer;

Any minimum duration in case of continuous performance contracts;

Available sizes, colors, and materials (if applicable).
Import duties and customs charges are the responsibility of the consumer where applicable.
Article 5 – The Contract
The contract is concluded at the moment the consumer accepts the offer and fulfills the stated conditions.
If acceptance occurs electronically, Harrison & Grace will confirm receipt electronically without delay.
All contracts are concluded subject to sufficient product availability.
Harrison & Grace may, within legal limits, verify the consumer’s ability to meet payment obligations and may refuse or condition an order if justified.
Article 6 – Right of Withdrawal
The consumer has the right to withdraw from the contract within 30 days of receiving the product, without providing any reason.
During the Withdrawal Period, the consumer shall handle the product and packaging with care and only to the extent necessary to assess its nature, characteristics, and functioning.
To exercise the right of withdrawal, the consumer must notify Harrison & Grace in writing or by email within 30 days of receipt.
After notification, the consumer must return the product within 30 days. The consumer bears the burden of proof of timely return (e.g., shipping receipt). Returns may be directed to the original fulfillment location, including our supplier in China.
If the consumer fails to notify withdrawal or return the goods within the applicable period, the purchase becomes final.
Article 7 – Costs in Case of Withdrawal
If the consumer exercises the right of withdrawal, return shipping costs are borne entirely by the consumer, including international return shipping where applicable.
Any payments received will be refunded as soon as possible and no later than 30 days after receipt of the returned product or proof of shipment.
Article 8 – Exclusion of the Right of Withdrawal
The right of withdrawal may be excluded for products:

Made to the consumer’s specifications;

Clearly personalized;
-
That cannot be returned due to their nature;

That deteriorate or expire rapidly;

Whose price depends on financial market fluctuations;
-
Audio/video recordings or software where seals have been broken;
-
Hygiene products with broken seals.
Article 9 – Prices
Prices will not increase during the validity period of the offer except due to legal VAT adjustments.
All prices are subject to typographical errors. In case of obvious pricing errors, Harrison & Grace is not obliged to deliver at the incorrect price.
Where goods are shipped from outside the European Union, import VAT and customs clearance fees may be collected by the carrier upon delivery.
Article 10 – Compliance and Warranty
Harrison & Grace guarantees that products conform to the contract, stated specifications, reasonable standards of quality, and applicable legal requirements at the time of conclusion.
Any defects must be reported in writing within 30 days of delivery.
The warranty does not apply where:

The product has been altered or repaired by unauthorized parties;

The product has been misused;

The defect results from external regulations concerning materials used.
Article 11 – Delivery and Execution
Orders will be executed with due care.
Delivery will take place at the address provided by the consumer.
Orders will be fulfilled as quickly as possible and no later than 30 days unless otherwise agreed.
If delivery becomes impossible, Harrison & Grace may offer a replacement product.
Risk of damage or loss passes to the consumer upon delivery to the consumer or designated representative.
Article 12 – Continuous Performance Contracts
Consumers may terminate indefinite contracts at any time with a maximum notice period of one month.
Fixed-term contracts may not be automatically renewed for a new fixed period unless explicitly permitted by law.
Article 13 – Payment
Unless otherwise agreed, payment must be made within 7 working days following commencement of the Withdrawal Period.
The consumer must report inaccuracies in payment details without delay.
In case of non-payment, Harrison & Grace may charge reasonable collection costs within legal limits.
Article 14 – Complaints Procedure
Complaints must be submitted in writing to:
Complaints will be processed within 30 days.
Submitting a complaint does not suspend payment obligations.
Article 15 – Governing Law
All agreements between Harrison & Grace and the consumer are governed exclusively by Dutch law, even if the consumer resides outside the Netherlands.
